Terms of Service

1. Agreement to Terms
By accessing or using the RepVive website, dashboard, or services (collectively, the “Services”), or by providing payment details, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Services.
These Terms constitute a legally binding agreement between you (“Client” or “you”) and RepVive LLC (“RepVive,” “we,” “us,” or “our”), located at 30 N Gould St #24331, Sheridan, WY 82801, USA. We may modify these Terms from time to time; material changes will be reflected in an updated “Last Updated” date and posted at this URL.
2. Description of Services
RepVive provides reputation management services, including review removal, review generation, profile monitoring, and related tools and software. The specific scope, pricing, included credits, performance commitments, and remedies applicable to your engagement are set out in your service proposal and/or signed Service Agreement.
3. Eligibility
To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you meet these requirements and that you have authority to bind any business on whose behalf you are accepting these Terms.
4. Pricing and Payment Authorization
Recurring subscription.RepVive’s services are offered on a recurring subscription basis. The applicable monthly fee is set out in your service proposal and confirmed at checkout. By providing payment details, you authorize RepVive to charge the stored payment method automatically on the same day each month for the duration of the subscription.
Per-event pre-authorization.You further authorize RepVive to charge the same stored payment method automatically for any per-event fees (including but not limited to additional review removals beyond any monthly included amount), at the rates set out in your service proposal and/or signed Service Agreement, upon RepVive’s confirmation of the relevant event — without further notice, consent, signature, or invoice.
Each authorized charge is independent. We email a receipt within 24 hours of each charge. Payment details are stored securely with our PCI-compliant processor (Stripe); we do not directly store full card numbers. You may revoke this pre-authorization at any time by emailing support@repvive.co. Revocation applies prospectively only and does not affect charges already processed for services already rendered.
5. Auto-Renewal
Your subscription renews automatically each billing period at the then-current rate until you cancel as described in Section 7. We may modify the recurring rate with at least thirty (30) days’ written notice; if you do not cancel before the new rate takes effect, the new rate applies.
6. Service Outcomes and No Guarantee of Platform Action
RepVive uses lawful and ethical methods to request removal, moderation, or generation of content on third-party platforms. Outcomes depend on the policies and decisions of those platforms, which are outside our control. Except as expressly set out in your signed Service Agreement, RepVive makes no warranty that any specific content will be removed, will remain removed, will not reappear, or will generate any specific result.
7. Cancellation and Pause
You may cancel or pause your subscription as described in your signed Service Agreement or, if no such agreement exists, by emailing support@repvive.co. Cancellation does not affect charges already incurred for services already rendered or subscription periods already billed. Access to RepVive dashboards and software ends on the cancellation effective date.
8. Refund Policy
Fees for services already rendered are non-refundable except as expressly provided in your signed Service Agreement. Specific refund and service-credit remedies (where applicable) are set out there. Where this Agreement and a signed Service Agreement conflict on refund mechanics, the signed Service Agreement controls.
9. Chargebacks and Payment Disputes
You agree to contact RepVive at support@repvive.co before initiating any chargeback or payment dispute and to allow ten (10) business days for resolution. Because you have expressly authorized recurring and per-event charges under Section 4, those charges are not unauthorized transactions for the purpose of card-network dispute rules. Initiating a chargeback without first contacting us may result in suspension of services, reversal of work product (where applicable), and recovery of associated dispute costs.
10. Client Obligations
- Provide accurate and complete information about your business and engagement scope.
- Grant any access required for RepVive to deliver the Services (e.g., Google Business Profile manager access). You may revoke such access at any time; services dependent on revoked access will be paused.
- Respond to RepVive requests for information within a reasonable timeframe.
- Not contact the relevant platforms directly regarding active matters being worked by RepVive without prior coordination.
- Not disclose RepVive’s methods, strategies, internal documentation, or vendor relationships to any third party.
- Not engage competing service providers for the same matters while RepVive’s services are active.
11. Confidentiality and Proprietary Methods
RepVive’s methods, strategies, vendor relationships, internal documentation, and any non-public materials shared with you in the course of the engagement are confidential and proprietary. You agree not to disclose, publish, or use them outside the engagement. We maintain reciprocal confidentiality regarding your business information.
12. Limitation of Liability
To the maximum extent permitted by law, RepVive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or reputational harm. Our total aggregate liability for any claims arising from or related to the Services shall not exceed the fees paid by you to RepVive in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. SMS Communications
By providing your phone number, you consent to receive SMS messages from RepVive related to your inquiry, service updates, and other operational communications. Reply STOP to opt out at any time. Reply HELP for assistance. Standard message and data rates may apply. Mobile opt-in data is not shared with third parties.
14. Indemnification
You agree to indemnify and hold RepVive harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Services, or content you instruct RepVive to act on that infringes third-party rights.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.
16. Relationship to Service Agreement
Where you have executed a separate signed Service Agreement with RepVive (including the Rep Engine Subscription Service Agreement), that Agreement controls the specific commercial terms (pricing, service-level commitments, remedies, cancellation period, software access) for your engagement. These Terms govern your use of the Services generally and apply in addition to any signed Service Agreement.
